1. Agreement Overview

Welcome to Tiffany Tay's professional services platform. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and Tiffany Tay ("Service Provider," "we," "us," or "our") governing your access to and use of our website, products, services, and content (collectively, the "Services").

We strive to ensure that our Services are available at all times. However, we do not guarantee uninterrupted access to our website or Services. We reserve the right to suspend or restrict access to some or all of our Services temporarily for maintenance or upgrades without prior notice.

4.3 Deliverables

Ownership of deliverables created as part of our Services will be governed by the specific terms of our service agreement. Unless otherwise specified in writing, upon full payment of all applicable fees, you will receive a non-exclusive license to use the deliverables for your internal business purposes.

5. Privacy & Data Protection

Our Privacy Policy, which is incorporated into these Terms by reference, describes how we collect, use, and share information. By using our Services, you consent to the data practices described in our Privacy Policy.

We implement reasonable security measures to protect your personal information. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

If you provide us with personal data of third parties (such as your employees or clients), you represent that you have obtained all necessary consents and authorizations to share such data with us and for us to use it in accordance with these Terms.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall Tiffany Tay, her affiliates, employees, agents, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Our total liability to you for all claims arising from or related to the Services shall not exceed the amount you have paid to us for the Services in the twelve (12) months preceding the event giving rise to the liability.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or consequential damages, so some of the above limitations may not apply to you.

7. Termination Policies

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account or engagement with us, you may simply discontinue using the Services or contact us to request account deletion.

For ongoing service engagements, termination provisions will be outlined in our service agreement, including notice periods and any applicable early termination fees.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. The most current version will always be posted on our website. It is your responsibility to check our Terms periodically for changes.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you are no longer authorized to use the Services.

For material changes to these Terms, we will make reasonable efforts to provide notice, such as through a prominent notice on our website or by sending you an email.
